In these Terms and Conditions "Biorbyt" represents our company, Biorbyt Ltd, 5 Orwell Furlong Cowley Road, Cambridge CB4 0WY, United Kingdom . In North America "Biorbyt" represents Biorbyt LLC 220 Montgomery St, Suite 810 San Francisco CA 94104 USA. The terms set out below under the heading US Terms apply where they differ from rest of the terms and conditions below. The Terms and Conditions set out below apply to Biorbyt branded products and services and to products distributed by Biorbyt on behalf of production partners.

 

Biorbyt is entitled to amend at any time in its absolute discretion the terms and conditions by posting them on this website in amended form with a note of the date when such amendments shall take effect. Your continued use of the website after the date any amendments shall take effect shall be construed as your acceptance to such amendments.

 

Placing Orders

Our website is the best place to place orders. Please follow the procedures found on  the "Buying Guide" and "Support" tabs on the website. 

Customer may order via fax, email or telephone. All orders are subject to availability. If an order is placed by Purchase Order, customer must provide a valid purchase order document, please see our website for details: http://www.biorbyt.com/buying-guide/#orderonline. Customer should ensure that all the details provided in any order placed are complete and accurate. If the order is not amended by you within 12 hours, it is assumed all details are correct. Once the order has been  placed by the customer, Biorbyt will send an Order Confirmation via email or fax, which will stand as written notice  given to the customer prior to the company's acceptance of any order. This constitutes an agreement that the prices and details listed are correct and agreed by the customer, and that the customer has agreed to confirm and honour this order, as detailed by the order confirmation. 

 

Payment Policy

Full payment instructions are set out on the invoice. We reserve the right to ask for prepayment.  Prepayment may be required if you are a first time buyer. Prepayment is required for specific countries. Prepayment can be made either by payment card or wire transfer. Please contact customer service for information on which countries are exempt. For orders placed by a Purchase Order Document issued by customer’s institution, Invoices should be paid no later than 30 days after the invoice date. All customers agree to pay any and all bank charges that are incurred by Biorbyt in processing  payments, where notified, as well as any bank charges incurred to the customer by their own bank.

At any time and without notice, past due amounts under any invoice may be offset by Biorbyt against overpayments, credits or any other amounts due to the customer. Delayed payments are liable to a 2% monthly rate late charge, which will be added to the invoice. 

 

Prices

Price and other information provided is subject to change without notice, Biorbyt reserves the right to alter prices with no reason given. Prices may be changed up to the time of delivery. Price may also change to account for fluctuations in the costs of the supply of products to the customer, in which case, written notice will be given to the customer at any time prior to delivery.

The product price shall be stipulated in the order confirmation. If not notified to the customer in the order confirmation, then the Price shall be as stipulated from time to time on the website. All prices quoted are exclusive of Value Added Tax, delivery, packing charges and insurance and are accurate at the time the order is made. Prices of products do not include import duties in countries where these are applicable.

 

Receipt of Products

Customers should inspect packaging and products immediately upon receipt. Biorbyt should be notified  immediately of damage, shortages or defects by e-mail or fax. Property of the products does not pass to customer until the payment due has been paid for in full. 

 

Cancellation Policy

If the customer wishes to cancel an order they must notify Biorbyt. There will be no cost to the customer if cancellation is less than 24 hours after order confirmation. If the customer wishes to cancel an order 24 hours after receipt of order confirmation, a restocking fee of 25% will apply. 

 

Replacement Policy

We are proud of the quality of our products. If the product does not perform as described on the datasheet, we will provide replacement or refund if you notify us within six months after receipt of the product. You will need to provide us with your detailed protocol including images of positive and negative controls for us to examine. If you do not provide details of your protocol or follow our recommendations, we will not be able to issue a replacement or refund. Any claim relating to products shall be limited to replacement or refund of original purchase price paid. In the unlikely event of receiving an incorrect item, please contact Biorbyt in the first instance. 

This policy does not apply to trial sizes, which are not refundable.

Please note that shipping, handling and packaging charges are non-refundable. 

 

Use of Product

All Biorbyt products are for RESEARCH purposes only, and should not be used for diagnostic or therapeutic uses. The products are not supplied for food, cosmetic, household or any other human use.

 

Legal Liabilities

Biorbyt will not be liable for any professional advice it may offer in relation to the use of the products nor any claims or applications not listed in the literature or the misuse of products which will include using the products for diagnostic, therapeutic or in vivo use in human subjects. We cannot provide a guarantee for all applications for which a specific reagent may be used. Biorbyt will notify its customers as soon as practically possible after it becomes aware of deficiencies in a product supplied. Any claim relating to products shall be limited to replacement or refund of original purchase price paid. Except for personal injury or death caused by Biorbyt’s negligence (for which no limit applies), Biorbyt will not be liable (under contract, by negligence or any other way) for any indirect or consequential loss or damage arising out of or in connection with the products or this Agreement and Biorbyt’s total aggregate liability for any loss or damage in respect of the products or this Agreement will not exceed the amount paid for the products under this order.

Except for the express warranties set out in these terms, all other warranties express or implied, statutory or otherwise are hereby excluded to the extent permissible by law.

 

General

The contents of this website, such as text, graphics, images information and other material ('Content'), are protected by copyright and other intellectual property laws, and all intellectual property rights in them belong to Biorbyt, or are licenced to it.

Biorbyt authorises you to use the Content on this website solely for the purpose of purchasing product from us or otherwise promoting our products but you are not permitted to use the Content in competition with us or our products.

In order to provide our customers with as much supporting information as possible, there may be pages on our website that link to third party internet sites, for instance, to a scientific conference website. Biorbyt  is not responsible for the content of such external internet sites.

All customers, including unauthorized distributors buying from Biorbyt with the purpose of reselling Biorbyt products, agree to comply with all English laws and regulations controlling the export of commodities and technical data and that they will be solely responsible for any violation of such by their actions. In particular, it is understood and acknowledged that the transfer of certain commodities and technical data is subject to English laws and regulations controlling the export of such commodities and technical data, including all Export Administration Regulations of the British Department of Commerce. These laws and regulations, among other things, prohibit or require a license for the export of certain types of technical data to certain specified countries.

Contracts and agreements with Biorbyt shall in all respects be governed by and interpreted in accordance with English law.

All users of this website are deemed to have accepted these Terms and Condition in their entirety.

Nothing in these terms is intended to provide any rights to third parties to enforce any term.

 

Returns and Cancellations

 

How do I cancel my order?

Before an order is dispatched, if the customer wishes to cancel the order, they must notify Biorbyt. There will be no cost to the customer if cancellation is less than 24 hours after order confirmation. If the customer wishes to cancel an order 24 hours after receipt of order confirmation, a restocking fee of 25% of the full price of the goods will apply. After the product is dispatched, the customer cannot cancel the order but they may return the product. Please see below for the guidance on returning products.

 

How do I return the products?

If products are ordered incorrectly by the customer, we will consider taking them back, however this excludes products which have special shipping requirements, including those shipped on dry ice and those hazardous for transport. All requests for returns must have prior authorisation and must be shipped back to Biorbyt within 7 working days of receipt of products. The products must have been kept in the storage condition as stated on the datasheet and not have been opened, broken or otherwise altered. Items must be returned in the same or equivalent packaging (i.e. cold and insulated) as originally dispatched by us. You will need to send the products back to us using your own shipping company and are responsible for any imposed customs and/or taxes that might be incurred. Please note we charge 25% of the full product price for re-stocking. Shipping and handling charges are not refundable.

 

How do I claim a refund for my order?
